Terms of Service

1. Agreement

These Terms govern your access to and use of the marketing, analytics and AI tools provided by Nilhan & Co. Limited, registered in England and Wales as NILHAN & CO. LIMITED, company number 07992110, registered office 78 Locks Hill, Portslade, East Sussex, BN41 2LD, United Kingdom, at nilhan.co (the "Service"). By creating an account or using the Service you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.

2. The Service

The Service provides website crawling and SEO analysis, dashboards for connected advertising and analytics platforms, AI-assisted content research and data analysis, and financial modelling tools. Features may be added, changed or withdrawn as the Service develops.

3. Accounts

You must provide accurate registration details, keep your credentials confidential, and are responsible for all activity under your account. Tell us promptly at nilhan@crearty.io if you suspect unauthorised access. Accounts are for a named user and must not be shared.

4. Acceptable use

You agree not to:

• crawl, scrape or index websites you neither own nor have permission to analyse;
• connect third-party accounts you are not authorised to access;
• use the Service to break any law, infringe intellectual property rights, or breach a third party's terms of service;
• attempt to bypass rate limits, security controls or authentication;
• reverse engineer, resell or white-label the Service without our written agreement;
• upload malware or content that is unlawful, defamatory or harmful.

5. Third-party platforms

The Service integrates with third-party platforms including Google Analytics 4, Google Search Console, Google Ads, ORTEC OPAL and various AI providers. Your use of those platforms remains subject to their own terms. We are not responsible for their availability, accuracy, pricing or changes to their APIs. You are responsible for holding valid accounts and permissions for every platform you connect.

6. Your data and content

You retain all rights to the data and content you upload or connect. You grant us a limited licence to host, process and display it solely to operate the Service for you. You are responsible for having a lawful basis for any personal data you bring into the Service. Our handling of personal data is described in our Privacy Policy.

7. AI-generated output

AI features produce output that can be incomplete, outdated or wrong. Output is provided for informational purposes only and is not professional, financial, legal or investment advice. Financial modelling results are projections based on the assumptions supplied and are not a guarantee of future outcomes. Verify AI output before relying on it for any decision.

8. Intellectual property

The Service, including its software, design and documentation, remains the property of Nilhan & Co. Limited and its licensors. These Terms grant you a non-exclusive, non-transferable right to use the Service, and nothing more.

9. Availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party API outages and factors outside our control may cause downtime. We may suspend access where necessary to protect the Service or comply with the law.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy or non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, nor for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid us in the twelve months before the claim, or GBP 100. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under the laws of England and Wales.

12. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your unlawful processing of third-party data.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, or if required by law. On termination, your right to use the Service ends and we will delete or return your data in line with the retention periods in our Privacy Policy.

14. Changes to these Terms

We may update these Terms as the Service changes. Material changes will be announced in the Service or by email at least 14 days before taking effect. Continued use after that date means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protection rules in your country of residence.
